Option: Additional information on the acquisition of MusicBox by Special Publications

Further to our announcement dated August 30, 2006 on the acquisition of 60% of the share capital of. C.A. MusicBox3 Entertainment Ltd by NDD Special Publications Ltd, we wish to add the following:

1. A.C.A. MusicBox Entertainment Ltd is actively involved in the TV sector and broadcasts via MiVision – channel 15.

The Company’s main revenues derive from the advertisements and the subscription via CYTA. The Company was established on November 29, 2004, it became active in May 2005 and it started its operations in November 2005. Its share capital is £15,000 divided into 15,000 shares of nominal value £1. The acquisition contract provides for an increase in the share capital to £40,000.

2. Due to the fact that the company started its operations recently, the profit and loss account and the balance sheet have not been prepared and audited by certified accountants. On behalf of NDD Special Publications Ltd, audit firm Moore Stephens Stylianou & Co carried out a due diligence. According to it, there is goodwill of £49,991, which will be subject to an impairment test every year, pursuant to IAS IFRS.

3. The composition of the Board of Directors after the acquisition is as follows:

- Demetris Lottides – Executive Chairman

- Constantinos Eracleous – Member and Managing Director

- Christis Lottides – Secretary

The new administrative team will present to the Board of Directors of NDD Special Publications Ltd the business plan of the channel for the next three years, as well as the proposals for its enrichment with other entertainment programs.
